Job Description:

The Legal Lead (Subcontracts) position will serve as a key liaison between Supply Chain and the Office of the General Counsel (OGC), enabling more efficient and effective resolution of contractual and compliance-related matters. This role provides advisory support to ensure appropriate escalation of issues, improve the quality and consistency of submissions to OGC, and reduce unnecessary legal involvement where matters can be resolved within Supply Chain. This role will, within policy and procedural limits, advise purchasing professionals and program managers on subcontract matters such as warranty interpretation, limitation of liability, termination for convenience or default, indemnification, and other subcontract terms and risks.

****This position can sit in Greenville, TX, Rockwall, TX, or Waco, TX. This is a 100% on-site role.****

Essential Functions:

  • Advise on novation/assignments, software licensing for Commercial and Free and Open-Source Software, basic intellectual property provisions, teaming agreements and other collaborative agreements, proprietary information agreements, and other agreement types.
  • Requires expertise in terms and conditions, strong understanding of Supply Chain processes, and the ability to translate complex contractual concepts into clear, actionable guidance.
  • Highly collaborative environment and relies on influence rather than authority to drive alignment across the Segment.
  • Serve as the primary liaison between Supply Chain and OGC for contractual and compliance-related matters
  • Provide guidance on when escalation to OGC is required based on established policies.
  • Review and refine submissions to OGC to ensure clarity, completeness, and appropriate context.
  • Identify opportunities to resolve issues within Supply Chain, reducing unnecessary legal escalation.
  • Support tracking and visibility of matters routed to OGC.
  • Partner closely with OGC to facilitate timely resolution of issues.
  • Provide guidance and support to Supply Chain personnel on contractual matters and best practices.
  • Promote consistent application of policies related to OGC engagement across the segment.
  • Develop templates, playbooks, and standardized processes in coordination with Counsel
  • Assist with maintenance of business process and policies, ensuring compliance with prime contract requirements and laws/regulations.
  • Knowledge of contract terms and conditions and contractual risk considerations.
  • Demonstrated ability to influence without direct authority and work across a matrixed organization.
  • Strong analytical and problem-solving skills.
  • Interpret contractual clauses (cybersecurity, warranty, indemnity, liability, IP, termination) within scope of delegation and boundaries defined by policy/procedure.
  • Ability to balance risk, compliance, and business objectives.
  • Developing or improving processes for escalation and decision-making.
  • Willing and able to travel between Rockwall, Plano, Greenville, and Waco as needed.
  • Ability to obtain and maintain a Secret DoD Clearance.
  • Other duties as assigned by Supervisor. 

Qualifications:

  • Bachelor’s Degree with nine (9) years of experience with US Government (FAR/DFARS) contract procurement process, contracts/licenses, other transaction authority, and/or commercial contracts drafting and negotiations.
  • Graduate Degree with seven (7) years of experience with US Government (FAR/DFARS) contract procurement process, contracts/licenses, other transaction authority, and/or commercial contracts drafting and negotiations.
  • In lieu of a degree, minimum of 13 years of experience with US Government (FAR/DFARS) contract procurement process, contracts/licenses, other transaction authority, and/or commercial contracts drafting and negotiations.
  • Seven (7) years of relevant experience in A&D or regulated industries.
  • Must be a U.S. Citizen.

Preferred Additional Skills:

  • Active Secret Clearance highly preferred.
