Job Description:
The Principal, Trade Counsel is an attorney role that will provide advice and counsel on compliance with U.S. and non-U.S. trade regulations, including those as administered by the Department of Commerce (Export Administration Regulations (EAR)), Department of State (International Traffic in Arms Regulations (ITAR)), Customs and Border Protection (CBP), and Department of the Treasury (Office of Foreign Assets Control (OFAC)). This position reports to the Senior Director and Managing Counsel, Global Trade Compliance.
Essential Functions:
- Provide advice and counsel to internal stakeholders on the U.S. and non-U.S export control laws and regulations, including but not limited to the ITAR, the EAR, and OFAC sanctions.
- Lead risk-based internal self-assessments and support development and implementation of compliance program enhancements.
- Support Global Trade investigations, including document reviews, interviews, and regulatory assessments, and draft voluntary disclosures for submission to regulators.
- Support the review and management of corrective actions and other risk mitigation activities.
- Support Global Trade due diligence assessments related to strategic transactions, including mergers, acquisitions, and divestitures.
- Support internal Compliance Assistance Visits to divisions/subsidiaries as part of internal compliance assessments.
- Coordinate compliance audits to select divisions/subsidiaries with Internal Audit.
- 20% travel domestically and internationally
Qualifications:
- JD with 10 years prior relevant experience
- Admitted and in good standing with a State Bar.
- Minimum 5 years’ experience with International Traffic in Arms Regulation (ITAR), the Export Administration Regulations (EAR), Office of Foreign Assets Control (OFAC), and/or other relevant regulations.
Preferred Additional Skills:
- Ability to interpret USG laws/regulations and assess risk management aspects
- Familiarization with automated trade compliance programs
- Experience with Consent Agreement
- Previous assignment in military operational and/or policy positions
- Technical background
- Background in the Foreign Military Sales program
- Familiar with other trade compliance regimes such as BATF, FDA, etc.
In compliance with pay transparency requirements, the salary range for this role in Colorado State, Hawaii, Illinois, Maryland, Minnesota, Vermont and New York State is $130,500-$242,500. For California, Seattle, Washington D.C., Maryland Greater Washington D.C. area, the city of Denver, Washington State and New York City, the salary range for this role is $150,000-$278,000. This is not a guarantee of compensation or salary, as final offer amount may vary based on factors including but not limited to experience and geographic location.
